Terms and Conditions for RedRand Services
1. Introduction
These Terms and Conditions ("Terms") govern the use of services provided by RedRand ("Service Provider") to client companies ("Clients") for the purpose of administering and conducting lotteries. By engaging RedRand’s services, Clients agree to be bound by these Terms.
2. Services Provided
- RedRand offers technical and logistical support for conducting lotteries, including but not limited to random winner selection, data processing, and reporting.
- RedRand ensures the randomness and integrity of the winner selection process.
- The scope of services will be outlined in a separate agreement with each Client.
3. Client Responsibilities
- Clients are solely responsible for the design, promotion, and execution of their lotteries, including compliance with applicable laws and regulations.
- Clients must provide accurate and complete data necessary for RedRand to perform its services.
- Clients are responsible for communicating with participants, distributing prizes, and handling any disputes or inquiries related to their lotteries.
4. RedRand’s Limitations
- RedRand does not assume any responsibility for the overall conduct or legality of the Client’s lottery.
- RedRand is not liable for any claims, damages, or disputes arising from the Client’s lottery operations.
- RedRand’s involvement is limited to ensuring the randomness and transparency of the winner selection process.
5. Fees and Payment
- Fees for RedRand’s services will be outlined in a separate agreement with each Client.
- Payment terms and conditions must be adhered to as specified in the agreement.
6. Data Protection and Confidentiality
- RedRand will handle all data provided by Clients in compliance with applicable data protection laws.
- RedRand agrees to maintain the confidentiality of all Client-provided information and not disclose it to third parties without prior consent, except as required by law.
7. Indemnification
Clients agree to indemnify and hold harmless RedRand from any claims, damages, or liabilities arising out of or related to the Client’s lottery operations.
8. Force Majeure
RedRand shall not be held responsible for any delay or failure to fulfill its obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, strikes, or government restrictions.
9. Termination
- Either party may terminate the service agreement with prior written notice as specified in the agreement.
- Upon termination, RedRand will return or delete all Client-provided data as per the agreement’s terms.
10. Governing Law
These Terms are governed by the laws of jurisdiction of Republic of Armenia, and any disputes will be resolved in the courts of Republic of Armenia.
11. Acceptance of Terms
By engaging RedRand’s services, Clients acknowledge and agree to these Terms and any additional terms outlined in their specific service agreements.
